Merger of Four Carers Centres in WiltshireScope of Consultancy: Merger, TUPE, Restructuring, Redundancy, Recruitment and HR Support

In April 2010 the four carers centres in Wiltshire were informed by the county council and
PCT, who between them provided funding of over £700,000 via 11 separate grants, that they
would be combining their funding into one joint contract for a single countywide carers
support service from April 2011.
The funders indicated they would be happy to ring fence the contract to a new organisation
created out of a merger between the four existing centres. However, if they failed to merge
then the contract would be put out to open tender to any willing provider.
Charlton Associates were engaged to:
- Work with all four centres to consult with trustees, carers and staff about the proposed merger
- Establish a project plan and timetable for the work with clear milestones
- Complete due diligence tests
- Create a structure for the new organisation that realised 10% budgetary savings and had the demonstrable support of trustees, carers and staff.
- Assist with the recruitment of the new Chair and Chief Executive
- Manage the TUPE Issues
- Complete the merger by 31st March
As a result of the consultancy:
- The four centres successfully merged into one new body
- An entirely new staff and service structure was created that managed savings in excess of 10% and delivered additional hours of direct support to carers
- There were no compulsory redundancies and no challenges under TUPE regulations
- A new Chair and Chief Executive were appointed using a process that involved trustees, carers and staff from all four of the previous centres
- The local authority endorsed the changes and the new organisation was awarded the contract for three years.
